Terms and Conditions
ShopyCore Terms and Conditions
Version 1.0 · About 35 minutes to read
What changed in this version: this is the first version.
These terms are the agreement between you and ShopyCore for using ShopyCore to run your store. Please read them carefully. The key points below are a short guide. The full terms after them are what apply.
Key points
What is ShopyCore?
ShopyCore gives you an online store (your storefront), a dashboard to run it (Merchant Admin) and, on plans that include it, tools to record in-store sales and create invoices. You are the seller. ShopyCore is not a party to your sales.
How does the free trial work?
A store created through Sign Up gets a 14-day free trial on ShopyCore's trial plan. If ShopyCore set up your store for you, your Subscription page shows your dates. We do not ask for a card, and we do not charge you automatically. ShopyCore does not currently take automatic payments for subscriptions, and would do so only if you separately agreed (section 8.4).
What happens if I have not paid when the trial ends?
You get a 5-day grace period. If we still have not confirmed your payment after that, Merchant Admin becomes read-only. You can still sign in, see your information, see how to pay, contact us and change your password.
Does my storefront go offline if I have not paid?
No. Read-only mode does not take your storefront offline and does not delete your store. After a free trial and its grace period end unpaid, customers can still place orders, up to your plan's monthly order limit, and you remain responsible for those orders. If a paid subscription is not renewed, your storefront stays online but may later stop accepting new orders (section 7.8).
Will ShopyCore delete my store if I do not pay?
No. We do not delete unpaid stores automatically.
How do I pay for my subscription?
Follow the payment instructions shown in Merchant Admin. We check each payment by hand. Your store returns to normal only after we confirm your payment and activate your store. Sending a receipt does not do this on its own.
Who collects money from my customers?
You do, through your own payment accounts. ShopyCore does not receive or hold your customers' money.
What am I not allowed to sell or upload?
Illegal, unauthorised or counterfeit products, and other prohibited products. Alcohol and any other product that the Acceptable Use Policy lists under ShopyCore's religious content rules. Content that breaks those rules, including images of women with uncovered hair. The Acceptable Use Policy has the full rules.
Who is responsible for my products and content?
You are, including your own religious accountability for them. ShopyCore keeps its own responsibilities too (section 20).
Can ShopyCore suspend or close my store?
Yes, if your store breaks these terms or the Acceptable Use Policy. We normally tell you first and give you time to fix the problem. For illegal, dangerous or fraudulent problems, or a deliberate repeat breach after a warning, we can act straight away (section 17.4). You can ask for a review through the Support & Feedback page.
How will I know if these terms change?
We will tell you before an important change takes effect, and you will need to accept the new version.
How do I contact ShopyCore?
Use the Support & Feedback page in Merchant Admin. It stays available even when Merchant Admin is read-only. If you cannot reach it, section 24.1 explains how to contact us.
1. About these terms
1.1 Who the agreement is between
These terms are an agreement between you and [LEGAL ENTITY NAME — to be confirmed], which runs ShopyCore ("ShopyCore", "the platform", "we", "us" or "our"). "You" means the merchant: the person or business that holds the store account.
1.2 Who we are
- Legal name: [LEGAL ENTITY NAME — to be confirmed]
- Commercial registration number: [COMMERCIAL REGISTRATION NO. — to be confirmed]
- Tax registration number: [TAX REGISTRATION NO. — to be confirmed]
- Registered address: [REGISTERED ADDRESS — to be confirmed]
- Email for formal legal notices: [OFFICIAL NOTICE EMAIL — to be confirmed]
For everyday questions and support, use the Support & Feedback page in Merchant Admin.
1.3 What the agreement is made of
Your agreement with ShopyCore is made up of:
- these Terms and Conditions;
- the ShopyCore Acceptable Use Policy, which sets out what you may sell and upload; and
- the details of your plan (its features, limits and price) as shown on the Subscription page in Merchant Admin.
If these terms and the Acceptable Use Policy seem to disagree, these terms apply, except that the Acceptable Use Policy decides what you may sell and upload.
1.4 How to read these terms
Headings, the key points and the "What this means for you" notes are there to help you. They do not change the meaning of the terms. When we say "including", "such as" or "for example", we are giving examples, not a complete list. The Arabic version addresses the reader in the masculine form for readability only; it applies equally to women and men, and to individuals and businesses.
1.5 These are business terms
These terms are for merchants who use ShopyCore for their business. They are not the terms between you and your customers. You set those yourself, within the law (section 10).
2. Words we use
- Store: your ShopyCore store, including its settings, products, orders and other data.
- Storefront: the public website where your customers browse and buy. It runs on a ShopyCore web address or on your own domain.
- Merchant Admin: the dashboard you and your team use to run your store.
- Team member: a person you add to your store on the Staff page, with the roles and permissions you choose.
- Customer: a person who buys, or thinks about buying, from your store, online or in your physical shop.
- Physical shop: your shop or other place where you sell to customers in person, and whose sales you record in ShopyCore on eligible plans.
- Plan: the subscription package for your store. Your effective plan is the plan actually active on your store at the time, as shown on the Subscription page. During a free trial, the trial plan is your effective plan.
- Content: anything you or your team upload or enter into ShopyCore, including text, product descriptions, prices, images, videos, logos, banners, your store name, domain names and messages.
- Content standards: ShopyCore's own rules about products and content, including its religious content rules, set out in sections 2, 5 and 6 of the Acceptable Use Policy.
- Religious content rules: the part of the content standards that reflects religious and cultural values ShopyCore has chosen for its business (section 13.3). They are ShopyCore's own platform policy, not a religious ruling (fatwa) and not a statement of the law.
- Read-only mode: a state in which you can view Merchant Admin but not make changes, because a subscription payment has not been confirmed (section 7). It is not a suspension.
- Suspension: a temporary stop of a store for a policy or security reason (section 17). Your Subscription page may show a subscription status of "Suspended" when a paid subscription's grace period ends unpaid (section 7.8). That is a subscription status, not a suspension under section 17.
- Permanent closure: ending a store for good (sections 17 and 18).
- Support & Feedback: the page in Merchant Admin where you send us questions, complaints and requests and see our replies.
3. Who can use ShopyCore
3.1 Legal capacity
You must be legally able to make a binding contract. If you are an individual, you must have reached the age at which Egyptian law lets you make contracts for your business.
3.2 Accepting for a business
If you accept these terms for a company or other business, you confirm that you are allowed to bind that business. The business is then "you" in these terms.
3.3 Registrations and licences
You must hold every registration, licence and permit that your business and your products need, such as a commercial registration and a tax registration where the law requires them.
3.4 Accurate information
You must give us accurate information when you sign up and keep it up to date. We may ask you to confirm your identity or your business details. If you knowingly give us false information, or do not correct information we tell you is wrong, we may refuse to open your store or act under section 17.
3.5 Fair use of the free trial
The free trial is for trying ShopyCore. You must not open extra accounts or stores just to get more free trial time.
3.6 When we may decline a store
We may decline to open a store if the information given is false, or if the store would break these terms or the Acceptable Use Policy. We will tell you why, unless the law prevents us.
4. Accepting these terms
4.1 You must accept both documents
Before you can finish signing up, or use Merchant Admin for the first time, you must accept these Terms and Conditions and the Acceptable Use Policy. You accept each one separately by ticking its box yourself. Nothing is ticked for you, and we do not treat visiting a page as acceptance.
4.2 Electronic acceptance
When you tick the boxes and continue, you agree to these terms electronically. This creates a binding agreement between you and ShopyCore.
4.3 Who may accept
These terms are accepted from your store's owner account. Whoever uses that account to accept confirms they may bind the business (section 3.2). Until the owner account accepts, your team members cannot use Merchant Admin. Your team members must follow these terms and the Acceptable Use Policy whenever they use your store.
4.4 What we record
We keep a record of who accepted, for which store, the date and time, the exact version of each document, and technical details of the request, such as the IP address used. We never change a published version. That way we can always show you exactly what you agreed to.
4.5 Where to see what you accepted
The Terms & Policies page in Merchant Admin shows the documents you accepted, with their version numbers and the date you accepted them.
4.6 What you can do before accepting
Before you accept, you can still read both documents, change your password and sign out.
4.7 Stores created before these terms
If your store existed before these terms were introduced, we will ask you to accept them the next time you sign in. We record the date you actually accept. We do not treat you as having accepted earlier. Asking you to accept does not change your subscription or the period your subscription covers.
5. What ShopyCore provides
5.1 The service
ShopyCore provides:
- a hosted storefront on a ShopyCore web address or on your own domain;
- Merchant Admin, where you manage products and variants, inventory, orders, payment methods, delivery methods and areas, coupons, your store's appearance, team members, roles and permissions, and notifications;
- the Support & Feedback page; and
- on plans that include it, in-store sales and invoices (section 12).
The exact features and limits depend on your effective plan.
5.2 Features follow your effective plan
You get the features and limits of your effective plan. Asking to upgrade does not on its own unlock new features. A new plan's features start only when we apply that plan to your store (section 8.6).
5.3 What ShopyCore does not do
ShopyCore is a software and hosting service. We:
- are not the seller of your products and are not a party to your contracts with customers;
- do not receive, hold, transfer or settle your customers' payments, and are not a payment service provider;
- do not deliver your orders; and
- do not give you legal, tax or accounting advice.
5.4 Availability
We work to keep ShopyCore available, secure and working well. We cannot promise that it will always be available or free of errors. Where we plan maintenance that is likely to affect you, we will try to tell you in advance in Merchant Admin.
5.5 Keep your own copies
Keep your own copies of important content, such as product photos and descriptions.
5.6 Services from other companies
Some things your store uses come from other companies, such as your domain name, your payment provider, your delivery company and mobile networks. Their own terms apply to them. We are not responsible for services we do not control. This does not limit our responsibility for our own software, or for choosing and managing the providers we use to run ShopyCore.
6. Your account and your team
6.1 Your owner account
Your store has an owner account. If ShopyCore created your store for you, you received a temporary password. You must change it the first time you sign in.
6.2 Your team
You can add team members on the Staff page and decide what they can do on the Roles page. You are responsible for what your team members do in your store, as if you had done it yourself. This does not include changes made by ShopyCore staff during a support session (section 6.5), or messages that ShopyCore writes and sends automatically, such as its standard order notifications. When someone leaves your business, remove their access straight away.
6.3 Keep sign-in details safe
You and your team must keep passwords secret, and each person must use their own sign-in. Give each team member only the access they need.
6.4 Tell us about security problems
If you think someone has used your store without permission, tell us straight away through Support & Feedback. We may limit access to your store for a short time to protect it.
6.5 Access by ShopyCore staff
Our authorised staff may access your store's data only when needed to provide the service, give you support you asked for, keep ShopyCore secure, or meet a legal obligation. They must keep what they see confidential.
To investigate or fix a problem, our authorised staff may sign in to Merchant Admin as a member of your store for a limited time. We record every such session and every change made during it, and staff cannot accept these terms, manage your team, or change passwords, your subscription or your domains on your behalf.
7. Free trial, grace period and read-only mode
What this means for you: if you do not pay, your dashboard becomes read-only, but your storefront stays online and your store is not deleted.
7.1 Free trial
A store created through Sign Up gets a free trial of 14 days on ShopyCore's trial plan. During the trial you can use the features included in the trial plan. We do not ask for a card and we do not charge you for the trial. If ShopyCore set up your store for you, or extends your trial, the dates shown on your Subscription page are the ones that apply.
7.2 Grace period
If we have not confirmed a subscription payment by the end of your trial, you get 5 more days to arrange payment. This is the grace period. During the grace period you keep normal access to Merchant Admin within the trial plan, and your storefront keeps working, while you arrange payment.
Your Subscription page shows your trial end date and your grace deadline.
7.3 Read-only mode
If the grace period ends and we have not confirmed a payment, Merchant Admin becomes read-only.
In read-only mode you can:
- sign in;
- see your store's information, products and orders;
- see your subscription status and how to pay;
- contact us through Support & Feedback;
- read the Terms & Policies page; and
- change your password.
In read-only mode you cannot add or change things, such as products, prices, stock, settings, team members or order statuses, until we activate your store again.
7.4 Your storefront stays online
Read-only mode does not take your storefront offline. Customers can still browse and place orders, up to your plan's monthly order limit, and the payment methods you set up for your customers keep working. Read-only mode is not a suspension, and it does not delete anything.
7.5 Orders placed during read-only mode
Orders placed during read-only mode are your orders. You remain responsible to those customers, including for delivery, cancellations and refunds. You may not be able to manage these orders in Merchant Admin until your store is active again, so arrange payment promptly.
7.6 Getting normal access back
Normal access comes back only when both of these have happened:
- we have confirmed your payment; and
- we have activated your store on the plan you paid for.
Sending us a receipt, or telling us you have paid, does not restore access on its own. We check payments by hand, so allow time for this.
7.7 No automatic deletion
We do not delete a store automatically because it is unpaid. Your store and its data stay in place. Section 18 explains when a store and its data can be deleted.
7.8 When a paid period ends
If a paid period ends before we confirm payment for the next one:
- your Subscription page shows your subscription as "Past due", and you keep normal access;
- we may then start a grace period, during which Merchant Admin is read-only, your storefront keeps taking orders, and your Subscription page shows the grace deadline;
- if that grace period ends unpaid, or if your subscription was set to end at the end of its period, you can use only your Subscription page and your account settings in Merchant Admin, and your storefront stays online but customers cannot place new orders. Your Subscription page may then show the status "Suspended"; that is a subscription status, not a suspension under section 17. To contact us at this stage, see section 24.1; and
- normal access returns only when we confirm your payment and activate your store again.
We do not delete your store automatically because a payment is late.
7.9 Summary
| Stage | Merchant Admin | Storefront | Your store and data |
|---|---|---|---|
| Free trial (14 days) | Normal use within the trial plan | Online | Kept |
| Grace period (5 days) | Normal use within the trial plan | Online | Kept |

| After a paid-subscription grace period, or after a subscription ends at period end | Subscription page and account settings only | Online, no new orders | Kept, never deleted automatically |
| Payment confirmed and store activated | Normal use within your paid plan | Online | Kept |
8. Plans, fees and subscription payments
8.1 Plans and prices
Plans and prices are shown in ShopyCore in Egyptian pounds (EGP). The price recorded when your current period starts applies for that whole period. A later change to a plan's price does not change a period that has already started.
8.2 Taxes on subscription fees
[SUBSCRIPTION FEE TAX TREATMENT (VAT) — to be confirmed]
8.3 How you pay
Subscription payments are made to ShopyCore's own accounts, using the payment instructions shown in Merchant Admin. Pay only using payment details shown in Merchant Admin, or given to you by ShopyCore through Support & Feedback or through the ShopyCore WhatsApp contact shown on your Subscription page. ShopyCore will never ask you for your password or for card details in a message. We check each payment by hand. Once we confirm it, we activate your store on the plan you paid for.
8.4 No automatic charges
ShopyCore does not currently take card payments for subscriptions and does not renew subscriptions automatically. We will not charge any card or account of yours automatically. If we offer automatic payments in the future, we will use them only if you separately and clearly agree to them. Accepting these terms is not that agreement.
8.5 Renewing
To continue after a paid period, pay for the next period using the payment instructions before your current period ends.
8.6 Changing your plan
You can see the available plans on the Subscription page and ask us to change your plan through Support & Feedback or the ShopyCore WhatsApp contact shown there. A new plan applies only when we have confirmed any payment due and applied the plan to your store. Asking for a change, or sending a receipt, does not change your plan on its own.
If we apply an upgrade during a paid period, the new plan's features start straight away, you pay nothing extra for the rest of that period, your renewal date stays the same, and the new plan's price applies from your next period.
8.7 Moving to a plan with fewer features
If your effective plan no longer includes a feature or allows less of something:
- we do not delete your existing data;
- you cannot add more than the new plan allows; and
- features the new plan does not include become locked. For example, if your new plan does not include in-store sales, you can still view and download your past in-store sales and invoices, but you cannot create new ones.
8.8 Time spent unpaid
When we activate your store after it was unpaid, your new paid period starts from the activation. We do not charge you for time your store spent in read-only mode, and we do not add late fees, penalties or interest.
8.9 Refunds of subscription fees
[SUBSCRIPTION REFUND POLICY — to be confirmed] Nothing in this section removes any refund right you have under the law.
8.10 Price changes
If we change the price of your plan, we will tell you at least [NOTICE PERIOD FOR PRICE CHANGES — to be confirmed] before the new price applies. The new price applies only from your next period after that notice. You can choose not to renew.
9. You are the seller
9.1 Who does what
ShopyCore provides the software and hosting for your store. You are the seller. Each sale is a contract between you and your customer. Your customers pay you through your own payment accounts, and ShopyCore does not receive or hold those payments.
9.2 Who is responsible for what
This table is a summary. The sections named in it give the details.
| You are responsible for | ShopyCore is responsible for |
|---|---|
| Your products being legal, safe and as described, and meeting the Acceptable Use Policy (sections 10 and 13) | Providing the service described for your effective plan with reasonable care (sections 5 and 20) |
| Everything you and your team upload or enter (sections 13 and 14) | Protecting the data we hold, as described in sections 15 and 16 |
| Giving your customers the information Egyptian consumer law requires, in Arabic (section 10) | Showing your subscription status, trial end date and grace deadline clearly, and not charging you automatically without your separate agreement (sections 7 and 8) |
| Collecting your customers' payments through your own payment accounts and following your provider's rules (section 11) | Checking subscription payments and activating your store once a payment is confirmed (section 7) |
| Delivery, returns, refunds and customer service for your orders (section 10) | Keeping your storefront online and your data in place during read-only mode, and not deleting unpaid stores automatically (section 7) |
| Who you add to your team and what they can do (section 6) | Telling you about important changes in advance, and applying our rules fairly, with reasons and a way to ask for a review (sections 17 and 19) |
| Your own taxes, invoices and licences (sections 3 and 12) | Answering your requests made through Support & Feedback (section 24) |
10. Your duties to your customers
What this means for you: Egyptian consumer law treats you as the seller ("supplier") of your products, so these duties are yours. ShopyCore has its own legal duties, and these terms do not change them (sections 13.5 and 20).
10.1 Follow consumer protection law
You must follow Egypt's Consumer Protection Law (Law No. 181 of 2018) and its Executive Regulations, and any other law that applies to your sales. The list below gives examples of what the law requires. It is not complete, and it is not legal advice. Get your own advice about your business.
- Before a customer buys, show your name or trade name, address, phone number and email, commercial registration number and tax card number. Also show the product's main features and any risks, the full price including taxes and delivery, the delivery date, place and cost, how returns and cancellations work, and any warranty.
- Use Arabic. Information for customers, order documents and invoices must be in Arabic. You may add other languages.
- Confirm each order. Right after a customer buys, send them a written confirmation (for example by email or message) with the order details and your terms.
- Returns and cancellations. Customers generally have 14 days from receiving a product to return it without giving a reason, with some exceptions set by law. Refunds are generally due within 7 days of the return, using the same payment method. Customers have extra rights if delivery is late. Show your return and exchange policy clearly.
- Advertise honestly. Do not make misleading claims about a product's nature, origin, price, brand, discount or availability.
- Give proper invoices that include the details the law requires.
- Prize draws and contests. Tell the Consumer Protection Agency before you advertise one, within the time the law sets.
- Keep records of your sales.
- Protect your customers' personal data (section 15).
10.2 Do not reduce your customers' rights
Your storefront terms, product pages and messages must not remove or reduce your customers' legal rights. For example, do not say "no returns under any circumstances" where the law gives a right to return.
10.3 Showing the required information on ShopyCore
ShopyCore gives you places to enter your store details and product information. You are responsible for checking that what your customers see meets the law.
10.4 Customer service
You handle your customers' questions, complaints, deliveries, returns and refunds. If a customer contacts ShopyCore about your store, we may pass the message to you, and you must respond promptly.
10.5 Delivery and offers
You set your delivery methods, areas and fees, and any free-delivery offer. You must honour the delivery charges, offers and coupons shown to your customers.
10.6 Product safety
Your products must be safe, match their description and meet the standards that apply to them. If a product you sell is recalled or found unsafe, you must stop selling it and deal with affected customers as the law requires.
11. Your customers' payments
11.1 You choose your payment methods
You choose which payment methods your storefront offers, such as cash on delivery, and mobile wallet or InstaPay transfer instructions. Card payments are not currently available on ShopyCore storefronts.
11.2 Your agreement is with your payment provider, not ShopyCore
You make your own agreement with your bank, wallet provider or payment provider. Their terms, fees and rules apply, and their list of prohibited products may be stricter than ours.
11.3 ShopyCore does not handle your customers' money
ShopyCore does not receive, hold, transfer or settle your customers' payments. We are not a payment service provider.
11.4 Check manual payments yourself
When a customer says they have paid by wallet or transfer, check that you have received the money before you press "Confirm payment received" on the order. A customer's claim is not a confirmed payment.
11.5 Refunds and disputes
Refunds, chargebacks and payment disputes are between you, your customer and your payment provider. You must make refunds as the law and your own policy require. This does not limit ShopyCore's responsibility for errors in its own software (section 20.1).
11.6 Payment credentials
Merchant Admin does not currently ask for payment account passwords, API keys or other payment credentials. Do not send them to us through Support & Feedback or any other channel. If we later let you connect your own payment account, we will explain how we protect those credentials before you enter them.
12. In-store sales, invoices and taxes
12.1 Only on eligible plans
In-store sales and invoices are available only when your effective plan includes them. The page stays visible on other plans but is locked, with an option to upgrade.
12.2 Shared stock
In-store sales use the same stock as your sales through your storefront. When you confirm an in-store sale, your stock goes down straight away, and this affects what customers can buy online. You are responsible for keeping your stock records accurate.
12.3 Invoices
Invoices you create in ShopyCore are commercial documents for your customers. They are not certified government e-invoices or e-receipts, and ShopyCore does not send them to the Egyptian Tax Authority. They do not currently show your commercial registration number, tax card number or tax amounts. You are responsible for:
- checking that your invoices include everything the law requires; and
- meeting any e-invoice or e-receipt obligation that applies to you, which may mean using a system connected to the Egyptian Tax Authority.
12.4 Taxes
You are responsible for registering for, charging, reporting and paying any taxes on your sales, including VAT where it applies. ShopyCore does not currently calculate, add or show tax separately. The prices you enter are the prices your customers pay, so if VAT or any other tax applies, include it in your prices and meet any tax-invoice duty yourself. ShopyCore does not decide your tax position.
12.5 After a change of plan
If your plan stops including in-store sales, your past sales and invoices stay in your store. You and authorised team members can still view and download existing invoices. You cannot create new in-store sales or new invoices.
13. Products, content and ShopyCore's content standards
13.1 The Acceptable Use Policy applies
The Acceptable Use Policy is part of these terms. You and your team must follow it.
13.2 What you must never sell or upload
Among other things, the Acceptable Use Policy prohibits:
- selling illegal, unauthorised, counterfeit or otherwise prohibited products;
- selling products that ShopyCore's religious content rules do not allow, including alcohol; and
- uploading content that breaks those religious content rules, including images of women with uncovered hair.
13.3 What the content standards are
ShopyCore applies its own content standards to every store. Some of them reflect religious and cultural values that ShopyCore has chosen for its business; these are ShopyCore's religious content rules. They are ShopyCore's platform rules, and following them is a condition of using ShopyCore. They are not a statement of Egyptian law. They are not a religious ruling (fatwa): ShopyCore does not issue fatwas or other religious rulings, and applying these standards is not a judgment about anyone's faith. They apply even when a product or image is lawful.
13.4 Your responsibility
You are responsible for the products you sell, the content you and your team upload, and any breach of these terms or the Acceptable Use Policy. That includes your own religious accountability for them. Accepting these terms does not pass that accountability to ShopyCore. ShopyCore's decisions about your store are platform decisions, not religious judgments.
13.5 ShopyCore keeps its own responsibilities
Your responsibility does not mean ShopyCore has none. ShopyCore remains responsible for applying its rules fairly and consistently, for acting on problems it is told about, for its commitments in section 20, and for its own duties under the law.
13.6 Checking content
We do not check every product or image before it is published. We may review any store, product or content at any time. We may remove or hide anything that breaks these terms or the Acceptable Use Policy, as explained in section 17.
14. Intellectual property
14.1 Your content stays yours
You keep ownership of your content.
14.2 Permission you give us
You allow ShopyCore to store, copy, display, format and send your content, but only as needed to run your store and provide the service. This includes showing your content on your storefront and resizing images. This permission is free of charge and not exclusive. It ends when your content is deleted, except for copies we must keep by law and backup copies until they are overwritten in the normal way.
14.3 We will not use your store to advertise ShopyCore without permission
We will not use your store name, logo or content to promote ShopyCore, for example as a customer example on our website, without your permission.
14.4 Your promise about your content
You promise that you own your content or have permission to use it, including permission from anyone shown in your images. Do not copy product photos, descriptions or logos from other websites or brands without permission.
14.5 ShopyCore's property
The ShopyCore software, designs, themes, templates, name and logo belong to ShopyCore or the companies that license them to us. While your subscription lasts, you may use them only to run your store, within the tools ShopyCore provides. You may not copy, resell or take apart the software except as the law allows.
14.6 Your suggestions
If you send us ideas or suggestions, for example through Support & Feedback, we may use them without paying you or owing you anything.
14.7 Complaints about rights
If someone tells us that your content or products infringe their rights, we may remove the item and ask you to respond. Section 15 of the Acceptable Use Policy explains how complaints are handled. We may permanently close a store that we have found, after review, to have sold counterfeit goods or infringed other people's rights more than once.
15. Personal data
What this means for you: ShopyCore is responsible for the data about you and your team. You are responsible for your customers' data, and ShopyCore processes it for you.
15.1 Who is responsible for which data
- ShopyCore is responsible (as "controller") for data about you and your team members (such as names, email addresses, phone numbers, sign-in details, roles and activity), your subscription and payment records, your support requests and attachments, your policy-acceptance records, and security logs. Our privacy notice explains how we use this data: [SHOPYCORE PRIVACY NOTICE — link to be confirmed].
- You are responsible (as "controller") for your customers' data. ShopyCore processes it on your behalf (as "processor"). This includes customer accounts, phone numbers used for sign-in codes, delivery addresses, orders, and customer details you record for in-store sales.
15.2 What we promise when we process your customers' data
When we process your customers' data for you, we will:
- use it only to provide ShopyCore to you and on your instructions (the settings you choose in Merchant Admin count as instructions), unless the law requires otherwise. If it does, we will tell you unless the law prevents us;
- make sure our staff keep it confidential;
- protect it with appropriate security measures;
- use other companies to help us only under written terms that protect the data. They help with things such as hosting, content delivery and security, email, and SMS or WhatsApp messages. The current list is [SUB-PROCESSOR LIST — to be confirmed]. We will tell you at least [SUB-PROCESSOR CHANGE NOTICE PERIOD — to be confirmed] before adding a new one;
- transfer it outside Egypt only as the Personal Data Protection Law allows: [CROSS-BORDER TRANSFER DESTINATIONS AND LEGAL BASIS — to be confirmed];
- tell you without undue delay, and within [BREACH NOTICE PERIOD TO MERCHANTS — to be confirmed], after we become aware of a breach affecting your customers' data. We will give you the information you need to meet your own duty to report it;
- help you respond to your customers' requests to access, correct or delete their data; and
- delete or return the data when our agreement ends, as described in section 18, unless the law requires us to keep it.
15.3 Your duties for your customers' data
You must:
- have a lawful reason for each use of your customers' data, and tell your customers how you use it;
- get your customers' separate, prior consent before sending them marketing messages by SMS, WhatsApp, email or any other channel, and stop when they ask;
- get a parent's or guardian's consent where the law requires it for children's data;
- use your customers' data only for your store, and never sell or share it without a lawful basis;
- get the consent of anyone who appears in your images; and
- hold any licence or permit that the data protection law requires of you.
15.4 We do not record your religion or beliefs
We do not ask for or record your religion or beliefs. Nothing in these terms, including section 13.4, requires you to declare them. You must not use ShopyCore to collect your customers' religious beliefs or other sensitive personal data unless the law allows it.
15.5 Messages from ShopyCore
Accepting these terms does not mean you agree to receive marketing from ShopyCore. That is a separate choice. We will send you service messages, such as subscription status, security alerts, changes to these terms and replies to your support requests, because they are part of the service.
15.6 Data protection contact
For data protection questions, contact [DATA PROTECTION OFFICER CONTACT — to be confirmed] or use Support & Feedback.
16. Security and confidentiality
16.1 How we protect your store
We use reasonable technical and organisational measures to protect ShopyCore and your data. No system is completely secure, and we will tell you as described in section 15.2 if a breach affects your customers' data.
16.2 How you protect your store
You must use strong passwords, give team members only the access they need, remove people who leave, and tell us promptly about any suspected misuse.
16.3 Confidential information
Each of us must keep the other's non-public business information confidential and use it only for this agreement. This does not apply to information that is already public, or that the law requires to be disclosed.
17. Suspension and permanent closure
What this means for you: if your store breaks the rules, we can remove items, restrict features, suspend your store or close it for good. We normally warn you first. You can ask for a review.
17.1 Suspension is different from read-only mode
Read-only mode (section 7) happens only because a subscription payment has not been confirmed. A suspension happens because of a policy or security problem, and it is stricter.
17.2 Why we may act
We may act under this section if:
- your store breaks these terms or the Acceptable Use Policy;
- your store is used for illegal activity or fraud;
- your store creates a real risk of harm to customers, other merchants, ShopyCore or the public;
- your account or store is involved in a security threat;
- a court or competent authority orders us to act;
- you gave us information that you knew was false, or you did not correct information we told you was wrong; or
- you break the rules again after we have warned you.
17.3 What we normally do
We choose a step that fits the problem. Normally:
- a person on our team reviews the report or problem;
- we tell you which rule was broken, which product or content is involved, and what you need to do;
- we give you [REMEDY PERIOD — to be confirmed] to fix the problem;
- if it is not fixed, we may remove or hide the product or content, restrict features, or suspend your store; and
- for serious or repeated breaches, we may close your store permanently.
17.4 When we act straight away
We may remove or hide a product or content, restrict features, or suspend your store without warning you first when:
- the product or content is illegal, including counterfeit goods;
- content sexualises, exploits or endangers children;
- there is a serious risk to people's health, safety or security;
- there is fraud, phishing, or misuse of stolen data or other people's data;
- a court or competent authority requires it;
- you deliberately repeat a breach of ShopyCore's content standards after we have told you to fix it; or
- a person or business whose store we closed permanently opens a new store without our written agreement.
For a breach of ShopyCore's content standards that is not also illegal, we act straight away only by removing or hiding the item, unless the breach is a deliberate repeat after a warning.
We close a store permanently without the notice in section 17.6 only when a court or competent authority requires it, or for fraud, phishing, or content that sexualises, exploits or endangers children. In every other case we give that notice first, even if we have already suspended the store.
When we act straight away, we will tell you what we did and why as soon as we can, unless the law or an authority prevents us.
17.5 What a suspension means
While your store is suspended, your storefront is offline, customers cannot place orders, and you cannot sign in to Merchant Admin. A suspension does not delete your data. Your duties to customers for orders already placed continue.
17.6 Permanent closure
If we close your store permanently, your storefront goes offline and your subscription ends. We will tell you in writing, with our reasons. Except in the cases in the third paragraph of section 17.4, we will give you at least [NOTICE PERIOD BEFORE PERMANENT CLOSURE — to be confirmed] notice first. Section 18 explains what happens to your data. Prepaid subscription fees: [PREPAID FEES ON POLICY CLOSURE — to be confirmed].
17.7 Asking for a review
If you think we made a wrong decision, ask for a review through Support & Feedback within [REVIEW REQUEST WINDOW — to be confirmed] after we tell you. Section 14 of the Acceptable Use Policy explains how reviews work. If a suspension stops you from reaching Support & Feedback, contact us at [SUPPORT CONTACT WHEN SUPPORT & FEEDBACK IS UNAVAILABLE — to be confirmed].
17.8 Records
We keep a record of each enforcement decision and our reasons.
18. Ending your subscription and what happens to your data
18.1 You can stop at any time
You can stop using ShopyCore at any time. If you stop paying, your store goes through the stages in section 7. Stopping payment does not take your storefront offline: after a free trial ends unpaid, customers can keep placing orders that you remain responsible for (section 7.4), and section 7.8 explains what happens when a paid subscription is not renewed. If you no longer want to sell, ask us to close your store permanently, and to delete your data if you wish. Use Support & Feedback, or the contact in section 24.1 if you cannot reach it. We may ask you to confirm that you are allowed to make the request.
18.2 We do not delete unpaid stores automatically
We keep your store and its data unless you ask us to delete them, we close your store under section 17, or a person at ShopyCore decides to delete a store that has stayed unpaid. That last decision is never made automatically, and we will not delete an unpaid store without telling you first and giving you at least [NOTICE PERIOD BEFORE DELETING AN UNPAID STORE — to be confirmed] to pay, get a copy of your data or object.
18.3 Getting a copy of your data
Before your store is closed, you can view your data in Merchant Admin during normal use and in read-only mode. If you can use only your Subscription page (section 7.8), ask us for a copy instead. You can also ask us through Support & Feedback for a copy of your store data, such as products, orders and customer records. [DATA EXPORT FORMAT AND TIMING — to be confirmed]
18.4 After permanent closure
After a store is closed permanently, its storefront goes offline. We keep its data for [DATA RETENTION PERIOD AFTER CLOSURE — to be confirmed], and then delete it or make it anonymous. We may keep some records for longer where the law requires it or to protect legal rights, such as subscription and payment records, invoices, policy-acceptance records, security logs and enforcement records. Backup copies are deleted in the normal backup cycle.
18.5 What continues after the agreement ends
Your duties to your customers for orders placed before closure continue. Sections 14.2 (for copies we are allowed to keep), 14.6, 15, 16.3, 17.8, 18, 20, 21, 24, 25, 26 and 27.6 also continue after the agreement ends.
19. Changes to the service and to these terms
19.1 Versions
Each version of these terms has a version number and an effective date. We never change a published version. We keep every earlier version, and the Terms & Policies page shows the version you accepted.
19.2 Why we may change these terms
We may change these terms to reflect new or changed features, changes in the law, security needs, clearer wording, or changes in how we run ShopyCore.
19.3 Important changes
An important change is one that reduces your rights, adds to what you must do, changes the content standards, or changes how we suspend or close stores. For important changes:
- we will tell you at least [NOTICE PERIOD FOR MATERIAL CHANGES — to be confirmed] before the change takes effect, by email to your store's owner account (if it has an email address) and in Merchant Admin;
- we will explain what is changing and what it means for you; and
- from the effective date, you must accept the new version, in the same way as before, to keep using Merchant Admin normally.
Continuing to use ShopyCore does not count as accepting an important change. Until the store owner accepts, you and your team can do only what section 4.6 lists: read the new documents, accept them (from the owner account only), change your password and sign out. Your storefront is not affected. If you do not want to accept, contact us at [SUPPORT CONTACT WHEN SUPPORT & FEEDBACK IS UNAVAILABLE — to be confirmed] to close your store (section 19.4).
19.4 If you do not accept
If you do not accept an important change, you can stop using ShopyCore and ask us to close your store, using the contact in section 19.3 (section 18). Prepaid fees are handled as described in section 8.9.
19.5 Urgent changes
If the law requires a change, or there is an urgent security or fraud reason, we may shorten the notice in section 19.3. We will explain the change as soon as we can. You still need to accept an important change before it binds you, except to the extent that the law itself imposes it.
19.6 Minor changes
For minor changes, such as fixing typing errors or adding or updating ShopyCore's contact details, we publish a new version with a note of what changed. You do not need to accept it again. Filling in or changing our legal name, the governing law, the courts, the liability cap, the refund policy, any notice, remedy, review or retention period, or any other detail of these terms that had not been settled when you accepted them, is an important change under section 19.3.
19.7 Changes to the service
We may improve, change or remove features. If we remove a feature that is a main part of your plan, we will tell you in advance.
20. ShopyCore's responsibilities and limits on liability
What this means for you: ShopyCore has its own responsibilities, and accepting these terms does not remove them. There are also limits on what ShopyCore pays if something goes wrong.
20.1 What ShopyCore is responsible for
ShopyCore will:
- provide the service described for your effective plan with reasonable care and skill;
- protect the data we hold as described in sections 15 and 16;
- show your subscription status and deadlines clearly, and not charge you automatically unless you have separately agreed to automatic payments under section 8.4;
- check subscription payments and activate your store as described in section 7;
- apply our rules fairly, give reasons and offer a review;
- tell you about important changes in advance;
- comply with the laws that apply to ShopyCore; and
- act on illegal products and content, and on breaches of the Acceptable Use Policy, that we are told about or become aware of (section 13.5).
Accepting these terms does not remove these responsibilities or any other responsibility ShopyCore has under the law.
20.2 What ShopyCore is not responsible for
Subject to section 20.4, ShopyCore is not responsible for:
- your products, your content, or your dealings with your customers, except to the extent that a loss is caused by ShopyCore failing to meet its own responsibilities, including its duty to act on products and content it is told about (sections 13.5 and 20.1);
- services we do not control, such as your payment provider, bank, delivery company, domain provider or mobile networks;
- loss caused by your breach of these terms, by what your team members do, or by sign-in details you did not keep safe; and
- loss that could not reasonably have been foreseen when you accepted these terms.
20.3 Limit on the amount
Subject to section 20.4, ShopyCore's total liability to you for all claims arising in any 12-month period is limited to [LIABILITY CAP — to be confirmed].
20.4 What these terms do not limit
Nothing in these terms limits or excludes:
- the liability of either of us for fraud or gross fault;
- liability for harm caused by an unlawful act;
- any liability or obligation that the law does not allow a contract to limit or exclude;
- rights that you or your customers have under Egyptian consumer protection or personal data protection law and that cannot be waived; or
- ShopyCore's own responsibilities in section 20.1.
21. Claims caused by your store
21.1 What you must cover
If someone, such as a customer, a brand owner or an authority, makes a claim against ShopyCore because of:
- your products or content;
- your breach of your legal duties to your customers;
- your breach of these terms or the Acceptable Use Policy; or
- your breach of the law or of someone else's rights,
you must cover ShopyCore's reasonable losses and costs from that claim, including reasonable legal fees. This is sometimes called an "indemnity".
We will take reasonable steps to limit our losses and costs, and you do not have to cover a settlement you did not agree to, unless you unreasonably refused.
21.2 When this does not apply
This does not apply to the extent that the claim was caused by ShopyCore's own fault or breach.
21.3 How we handle a claim
We will tell you promptly about the claim, give you a chance to respond, and consult you before settling it.
22. Events outside our control (force majeure)
Neither of us is responsible for a delay or failure caused by events outside reasonable control, such as power or internet failures, natural disasters, government action or cyber attacks, as long as we take reasonable steps to limit the effect. We will tell you if such an event affects ShopyCore.
23. Requests from authorities
We may keep or share information, remove content or block access when Egyptian law, a court or a competent authority lawfully requires it. We may report suspected crimes to the competent authorities. We will tell you about a request that concerns your store, unless the law or the authority prevents us.
24. Support, complaints and disputes
24.1 Support & Feedback
Use the Support & Feedback page in Merchant Admin to send a question, a complaint or a feature request. Our replies appear in the same conversation, and we also notify you by email and in Merchant Admin, depending on your notification settings. Support & Feedback stays available in read-only mode. If you can use only your Subscription page (section 7.8), your store is suspended (section 17), or the owner account has not yet accepted the current version of these terms (section 19.3), contact us at [SUPPORT CONTACT WHEN SUPPORT & FEEDBACK IS UNAVAILABLE — to be confirmed].
24.2 Resolving disputes
If you have a dispute with ShopyCore, raise it first through Support & Feedback. We will both try in good faith to resolve it within [AMICABLE RESOLUTION PERIOD — to be confirmed] before either of us takes it to the court or body that decides disputes under section 25. This does not stop either of us from taking urgent legal steps.
25. Governing law and courts
These terms are governed by [GOVERNING LAW — to be confirmed]. Disputes that we cannot resolve under section 24.2 will be decided by [COMPETENT COURTS OR ARBITRATION — to be confirmed].
26. Language
We publish these terms in Arabic and English, with the same meaning. If the two versions ever differ, the [PREVAILING LANGUAGE — to be confirmed] version applies.
27. General terms
27.1 The whole agreement
These terms, the Acceptable Use Policy and your plan details are the whole agreement between you and ShopyCore about the service.
27.2 If part of these terms is invalid
If a court decides that part of these terms is invalid, the rest still applies. The invalid part is treated as removed, to the extent the law allows.
27.3 Not enforcing a term straight away
If we do not enforce a term straight away, we can still enforce it later.
27.4 Transfer
You may not transfer this agreement or your store to someone else without our written agreement. We may transfer this agreement to a company that takes over ShopyCore's business. If we do, we will tell you, and your rights under these terms will not be reduced.
27.5 Our relationship
You and ShopyCore are independent. These terms do not create a partnership, employment or agency.
27.6 Notices
We send notices to the email address of your store's owner account and in Merchant Admin. Make sure your owner account has a working email address and keep it up to date. A notice shown in Merchant Admin counts as given even if no email could be delivered. You can send notices to us through Support & Feedback, or to the formal notice details in section 1.2.
28. How to contact us
- Support, questions, complaints and review requests: the Support & Feedback page in Merchant Admin.
- Formal legal notices: [OFFICIAL NOTICE EMAIL — to be confirmed], [REGISTERED ADDRESS — to be confirmed].
- Reports about a store from people who are not merchants (for example brand owners or customers): [CONTENT AND IP COMPLAINTS CONTACT — to be confirmed].
